Introduction
These Terms of Service govern the engagement between AIMRIX ("we", "us", "our") and clients who engage our engineering practice for software development services ("you", "the client").
1. Scope & Execution Framework
AIMRIX delivers bespoke software engineering services on a defined project or milestone basis. Each project is anchored by a formal written specification detailing functional requirements, delivery timelines, and fixed or phased costs.
Written Scope Requirement
Production work commences exclusively after written functional confirmation and receipt of the agreed deposit. Verbal requests do not constitute binding engineering commitments.
2. Intellectual Property & Code Ownership
Upon receipt of final milestone payment, 100% intellectual property rights to the custom source code, database architectures, and assets written for your project are irrevocably transferred to you.
There are zero recurring vendor lock-in fees or proprietary framework restrictions. You retain full freedom to host, modify, or extend the codebase with internal staff or third-party developers.
3. Confidentiality & Non-Disclosure
AIMRIX treats all client operational workflows, database schemas, and commercial strategies with strict confidentiality. Mutual Non-Disclosure Agreements (NDAs) are signed upfront prior to reviewing sensitive internal data.
4. Milestone Payment Terms
- Transparent milestone structure with clear deliverables defined prior to invoice
- Initial deposit required before development sprint kick-off
- Interim demonstrations and staging access provided for client validation
- Final source code repository handover executed upon final milestone clearance
